Terms & conditions
A few ground rules for real plans, friendly competition, and a good time with your people.
Effective September 11, 2026
1. Agreement and eligibility
These Terms govern your use of Who’s Late? and its website, operated by Stellar Corporate LLC. By using the service, you agree to these Terms. If you do not agree, do not use the service. You must be at least 18 and able to enter an agreement in your jurisdiction. Our Privacy Policy explains how we process information.
2. Your account and your crew
Provide accurate account information, keep your credentials secure, and notify us if you suspect unauthorized access. You are responsible for activity you authorize through your account. Do not impersonate others, distribute invitations without permission, access crews without authorization, or disclose other people’s private information. Crew owners and members have different controls; another member’s actions can affect shared plans and artwork.
3. Friendly challenges, not enforceable debts
Who’s Late? helps friends organize meetups and compare arrivals. Agree on safe and voluntary consequences. The final arrival receives the agreed consequence only if they are late for their promised arrival time. There is no loser in a one-person result. The app does not collect wagers, enforce debts, transfer payments between participants, or guarantee that someone will carry out a consequence. Do not use it for gambling, unlawful purchases, humiliation, coercion, dangerous dares, discrimination or harassment. Any real-world purchase or activity is your responsibility and must comply with applicable law. Nobody is required by us to buy alcohol or any other item.
4. Location, notifications and results
Check-in requires being within 300 feet of the meeting point and relies on device location and service availability. Background arrival, reminders, notifications and Live Activities may be delayed or unavailable because of permissions, operating-system limits, connectivity or inaccurate location. Results may not reflect a person’s actual arrival perfectly. Resolve disagreements respectfully with your crew. This is not an emergency, navigation, or safety-monitoring service. Never interact with the app while driving or in an unsafe situation.
5. Your content and AI artwork
You retain any rights you have in content you submit. You give us permission to store, process, reproduce and display that content only as reasonably needed to operate, secure and support the service, including displaying it to your crew and using our service providers. For requested AI features, that includes sending selected images to OpenAI and generating, storing and displaying artwork and result images. Obtain permission from people whose images you submit and from rights holders where necessary. AI results can be inaccurate, unexpected or similar to other outputs; do not treat them as factual records or evidence of someone’s real behavior. Generated artwork does not guarantee exclusive intellectual-property rights. You are responsible for how you use and share it.
6. Acceptable use and our intellectual property
Do not upload unlawful, abusive, exploitative or infringing material, introduce malware, bypass access controls or usage limits, scrape private data, or interfere with the service. Report abuse through the app or support. We may review reported content and restrict content or accounts to protect people and the service. Our branding, software and designs remain ours or our licensors’; these Terms give you a personal, limited right to use the service, not ownership of it.
7. Availability, changes and charges
Features, testing availability, generation limits and supported devices can change. We may interrupt or discontinue features, and early-testing software may contain errors. Your first challenge is free and does not start a subscription. Where subscriptions are available, continuing crew and challenge features requires a monthly or yearly membership. The price and billing period displayed by your Apple or Google store apply; local prices and taxes may vary. Subscriptions renew automatically unless canceled before renewal through your store account. Canceling stops future renewal; access generally continues through the paid period, subject to store refund rules. Restore purchases using the original store account and your Who’s Late? account. Google Play renewal is canceled as part of in-app account deletion. Apple subscriptions must be canceled through App Store subscription settings before deleting your account. Cancellation stops future renewals and does not itself refund earlier payments. Profile images must be generated AI avatars. Only crew owners can generate shared friends images and backgrounds in Photo Booth. Daily generation limits can change and are enforced in the app; automatic challenge result images do not use that allowance. Third-party stores and services may impose their own terms.
8. Ending use and deleting an account
You may stop using the service at any time and request account deletion in the app or through our deletion page. We may suspend or terminate access for material violations, security concerns, legal obligations, or discontinuation of the service, with notice where appropriate and required. Deletion is subject to the retention and shared-content details in our Privacy Policy. Rights and obligations that naturally continue after termination remain in effect.
9. Disclaimers and responsibility
To the extent permitted by applicable law, the service is provided “as is” and “as available,” without guarantees of uninterrupted operation, accuracy, fitness for a particular purpose or a particular AI result. We are not responsible for independent actions by crew members or third-party services. To the extent permitted by law, we are not liable for indirect or consequential losses arising from use of the service. Nothing in these Terms excludes liability or consumer rights that cannot lawfully be excluded, including rights applicable to fraud, intentional misconduct or other protected claims.
10. Questions, disputes and changes
Contact troy@stellarcorporate.com with questions or concerns so we can try to resolve them. Applicable mandatory consumer laws and any rights to bring claims in your local courts remain unaffected. We may update these Terms and will revise the effective date, with additional notice when required. Material changes apply as permitted by law; if you do not accept them, stop using the service.
Community rules
You must be at least 18 and accept these rules before creating or uploading content. Do not post bullying, harassment, threats, hate, explicit sexual content, child sexual abuse or exploitation material, scams, or another person’s private information without permission. Do not impersonate others or use photos without permission. These rules cover messages, profiles, crew names, plans, uploaded images and AI artwork.
We use automated screening and human review of reports. We may remove content, restrict accounts, or suspend access for violations. Report a message, member, or artwork from its in-app menu. You can block a member, leave a crew, and request account deletion. Contact troy@stellarcorporate.com with concerns or to request review of a moderation decision. Our child safety standards also apply.
